Vendor Terms and Conditions

Applicable To: All vendors, resellers, and partners using BrandsPro services via
https://brandspro.thebrandsindia.in
These Vendor Terms and Conditions (Terms) govern your relationship with BrandsPro (a product of The
Brands India) when using our SaaS CRM platform, WhatsApp API, or bulk messaging services. By
registering or using our services, you agree to be bound by these Terms.
1. Eligibility and Onboarding
- Authorized Access: Only vendors using officially sanctioned WhatsApp Business APIs are eligible.
Unauthorized or third-party tools for automation or messaging are strictly prohibited.
- Compliance Screening: Vendors must complete an onboarding process, including verification of legal,
ethical, and regulatory compliance.
- Restricted Use Cases: Vendors in prohibited industries (e.g., adult content, gambling, unlicensed medicine,
tobacco) are not permitted to use the platform.
2. Use of Services
- User Consent: Vendors must obtain explicit user opt-ins before initiating messages. Consent records must
be maintained for audit purposes.
- Template Approval: All outbound messages must comply with WhatsApps template policies. Unapproved or
promotional spam content is not allowed.
- Platform Abuse: Sending bulk unsolicited messages, using spoofed numbers, or bypassing platform security
is a violation and grounds for immediate termination.
3. Data Protection and Privacy
- Legal Compliance: Vendors must follow all applicable data privacy regulations including GDPR, CCPA, and
Indias IT Act.
- Secure Handling: All data must be transmitted and stored using secure, encrypted methods.
- Data Integrity: Vendors may not sell, share, or reuse user data outside the scope of authorized use within
the BrandsPro platform.
4. Intellectual Property and Branding
- Use of BrandsPro Assets: Vendors may not use BrandsPros name, logo, or branding without written
permission.
- WhatsApp Branding: All references to WhatsApp must adhere to their official branding and usage
guidelines.
5. Payment Terms
- Prepaid Services: All services must be paid in advance. No activation will occur without successful payment.
- Billing Cycle: Subscriptions are billed monthly, quarterly, or annually as selected. Plans auto-renew unless
canceled before the renewal date.
- Payment Failure: Failure to complete payment within 3 days of the due date may result in service
suspension or termination.
6. No Refund Policy
- Strictly Non-Refundable: All payments to BrandsPro are final. This includes:
- Unused message credits
- Early cancellation of subscriptions
- Downtime due to WhatsApp or Meta-related issues
- Terminations due to non-compliance
- Cancellation: Vendors may cancel services at any time, but no refunds (full or partial) will be issued.
7. Monitoring and Enforcement
- Audit Rights: BrandsPro reserves the right to monitor vendor activity for compliance, quality assurance, and
abuse prevention.
- Policy Violations: Breach of these Terms may result in suspension, termination, legal action, or permanent
blacklisting.
- Incident Reporting: Vendors are required to report any data breaches, misuse, or suspicious activity within
24 hours.
8. Modifications to Terms
BrandsPro reserves the right to update or revise these Terms at any time. Vendors will be notified of
significant changes. Continued use of the services after updates constitutes acceptance of the revised
Terms.
9. Governing Law
These Terms shall be governed by and interpreted under the laws of India. All disputes arising from these
Terms shall be subject to the jurisdiction of courts located in [Insert City/State].

By registering, accessing, or using the BrandsPro platform, you confirm that you have read, understood, and
agreed to be bound by these Vendor Terms and Conditions.
